Resumen : El objeto social, es decir, la expresión de la actividad o actividades a las que se va a dedicar la sociedad constituye uno de los puntos que, como contenido mínimo, deben recoger los Estatutos Sociales. Resulta de suma importancia puesto que incluso puede llegar a determinar el tipo de sociedad que debe constituirse. La redacción del objeto social debe ser clara y fiel a lo que va a ser el proyecto. Resulta conveniente tener en cuenta si existe legislación especial que regule la actividad a desarrollar porque a partir de su análisis podremos fijar el objeto social reduciendo el riesgo de que por parte del señor Registrador no se admita la inscripción. Algunas reglas que se debería tomar en cuenta luego del análisis realizado serían: Es necesario comprobar si la actividad está sujeta a algún tipo de incompatibilidad. Por ejemplo, el funcionamiento como agencia de viajes es incompatible con cualquier otra actividad, por lo que el objeto social deberá estar limitado a esta actividad con exclusión de cualquier otra. Conviene verificar si la realización de la actividad está reservada a determinados profesionales. La actividad debe ser lícita, concreta y precisa y no puede referirse a los actos jurídicos necesarios para la realización o desarrollo de otras actividades. Así, no es admisible como actividad integrante del objeto social la consistente en constitución de sociedades para su venta posterior por considerarse que las sociedades tienen la consideración de sujetos y no objeto de contratos. Por otra parte, el objeto social define el ámbito de representación de los Administradores que se extiende a todos los actos comprendidos en el mismo. La actuación fuera de dicho ámbito será responsabilidad de los administradores si bien es cierto que la sociedad queda obligada frente a terceros que hayan obrado de buena fe y sin culpa grave aun cuando resulte de los estatutos inscritos en el Registro que el acto no está comprendido en el objeto social. Es muy importante que este objeto social este delimitado a una actividad única que permita que la sociedad a constituir se enfoque directamente en esa actividad y que permita competir en igualdad de condiciones con otras compañías
Descripción : The social order , the expression of the activity or activities to which they will devote the society is one of the points at least content, must collect the Bylaws. Moreover, the social object defines the scope of representation Administrators extending all activities included in it. The action outside this area will be the responsibility of the directors if it is true that society is obliged against third parties who have acted in good faith and without gross negligence even if arising from the statutes listed in the Registry that the act does not fall within the company. It is very important that this social order this delimited to one activity that allow society to be to focus directly on the activity and allowed to compete on equal terms with other companies.
