Muchas personas esperanzadas de tener un bien inmueble propio confían en inmobiliarias o constructores y personas que ofrecen servicios de venta de bienes muebles e inmuebles, con la promesa de venderle un bien a planes fáciles de acceder, pero al final, pasan los años y nunca entregan el bien ofrecido. Esta problemática se debe, a que no existe ninguna normativa que protege la figura jurídica de la promesa de compra y venta, tanto en la Ley Orgánica del Sistema Nacional de Registros de Datos Públicos, como en la Ley de Registro de la Propiedad y el Código de Comercio, dando por ende la puerta abierta para que exista estafas sin entregar lo prometido. No olvidemos que la promesa de compraventa se realiza en una Notaria y por ende es una escritura pública. El Art. 26 de la Ley Notarial define lo que es Escritura Pública al normar: Escritura pública es el documento matriz que contiene los actos y contratos o negocios jurídicos que las personas otorgan ante notario y que éste autoriza e incorpora a su protocolo. Se otorgarán por escritura pública los actos y contratos o negocios jurídicos ordenados por la Ley o acordados por voluntad de los interesados. (Ley Notarial, 2022) El Art. 19 de la Ley Notarial, dentro de los deberes de los Notarios, manifiesta lo siguiente: Son deberes de los Notarios: a) Receptar, interpretar y dar forma legal a la exteriorización de voluntad de quienes requieren su ministerio. La recepción de la exteriorización de voluntad, podrá realizarse, de manera física o de forma telemática, de conformidad con la elección de los usuarios. De presentársele minuta, esta debe ser firmada de forma autógrafa o electrónicamente por uno o más abogados, incluyendo el número de matrícula profesional. La minuta podrá ser sujeta a 3 modificaciones que realicen las partes con la autorización del notario, previo al otorgamiento de la escritura pública… d) Incorporar diariamente al protocolo las escrituras públicas que autorice y los documentos que deban ser protocolizados; …. (Ibídem) El Art. 19 de la Ley Orgánica del Sistema Nacional de Registros de Datos Públicos, le da vida jurídica al Registrador de la Propiedad, en el cual, no le da sus funciones, lo que conlleva un vacío legal, que puede llevar a varias interpretaciones que puede acarrear un error jurídico al momento de realizar sus actividades; en ésta Ley es indispensable que se implemente sus funciones, al fin de que su actividad no entre en violación a la Ley; lo mismo ocurre con el Art. 20 que norma sobre el Registro Mercantil. Y dentro de sus funciones sería muy acertado que se legalice e incorpore la inscripción de los contratos de compra y venta. En el Art. 25 de la Ley de Registro de la Propiedad, no está determinado que las promesas de compraventa estén sujetos a inscripción dentro del Registro Mercantil. De igual forma en el Art. 22 del Código de Comercio tampoco se determina el deber de inscripción de una promesa de compra venta. Pese a esta problemática jurídica de que no se prevé la inscripción de un contrato de promesa de compra y venta en el registro correspondiente, la Ley prevé que dicho contrato sea elevado a escritura pública ante un Notario, por lo cual, da carta abierta para que muchos estafadores vean la oportunidad de engañar a muchos ecuatorianos de adquirir un bien a futuro y ellos enriquecerse a costa ajena, induciéndoles a que inviertan en adquirir a futuro un bien ya que van estar asegurados con una escritura de promesa de compraventa legalizado ante un Notario.
Descripción : The present investigation is entitled: "THE LACK OF REGISTRATION IN THE COMMERCIAL REGISTRY, PROPERTY REGISTRY AND OTHER RECORDS, OF PROMISES TO PURCHASE AND SELL MOVABLE AND REAL ESTATE PROPERTY, VIOLATES PROPERTY RIGHTS", in which we carried out a Study of the purchase and sale promise and its problems at the time of registration. Article 26 of the Notarial Law defines what is a Public Deed when regulating: Public deed is the parent document that contains the acts and contracts or legal transactions that people grant before a notary and that he authorizes and incorporates into his protocol. The acts and contracts or legal transactions ordered by the Law or agreed by the will of the interested parties will be granted by public deed. (Notarial Law, 2022) Article 19 of the Notarial Law, within the duties of Notaries, states the following: They are duties of Notaries: a) Receive, interpret and give legal form to the externalization of the will of those who require their ministry. 5 The reception of the externalization of will, may be done, physically or electronically, in accordance with the choice of the users. If a bill is presented, it must be signed by hand or electronically by one or more lawyers, including the professional registration number. The minutes may be subject to modifications made by the parties with the authorization of the notary, prior to the granting of the public deed... d) Incorporate daily into the protocol the public deeds that authorize and the documents that must be protocolized; (Ibid) Article 19 of the Organic Law of the National System of Public Data Registries, gives legal life to the Property Registrar, in which, it does not give it its functions, which entails a legal vacuum, which can lead to various interpretations. that it can lead to a legal error when carrying out its activities; in this Law it is essential that its functions be implemented, so that its activity does not violate the Law; The same occurs with Article 20, which regulates the Mercantile Registry. And within its functions it would be very appropriate to legalize and incorporate the registration of purchase and sale contracts. In Article 25 of the Property Registry Law, it is not determined that promises of sale are subject to registration in the Mercantile Registry. Similarly, Article 22 of the Commercial Code does not determine the duty to register a promise of sale. Despite this legal problem that the registration of a purchase and sale promise contract in the corresponding registry is not foreseen, the Law provides that said contract be elevated to a public deed before a Notary, for which reason, it gives an open letter so that many scammers see the opportunity to deceive many Ecuadorians to acquire a property in the future and they enrich themselves at the expense of others, inducing them to invest in acquiring a property in the future since they will be insured with a deed of promise of sale legalized before a Notary.
